Warrant and Defend Title Sample Clauses

The "Warrant and Defend Title" clause obligates a party, typically the seller or grantor, to guarantee that they have clear ownership of the property or asset being transferred and to protect the recipient against any future claims or disputes over that ownership. In practice, this means the seller assures the buyer that the title is free from undisclosed encumbrances, liens, or third-party claims, and promises to take legal action if any such issues arise after the transfer. This clause is essential for providing the buyer with confidence and security in their ownership, effectively reducing the risk of future legal challenges to their title.
