Common use of Warrant Value Clause in Contracts

Warrant Value. The number of shares for which this Warrant shall be exercisable (the "WARRANT VALUE") shall be determined in accordance with the following, subject to adjustment as provided in Section 4 hereof: (a) if as of the Effective Date no Registered Public Offering and no Triggering Event shall have occurred, the Warrant Value shall be 1,067 shares; or (b) if one or more Registered Public Offerings shall have occurred prior to the Effective Date and no Triggering Event shall have occurred, the Warrant Value shall he determined on the Effective Date by reference to the value of the total common equity of the Company, on a Fully Diluted basis (the "EQUITY MARKET VALUE"), realized on the closing date of each such Registered Public Offering in accordance with the following: if the highest Equity Market Value realized on the closing date of any Registered Public Offering is (i) equal to or greater than $60,000,000 but less than $65,000,000, then the Warrant Value shall be 801 shares;
