Common use of WARRANTIES BY THE LICENSOR Clause in Contracts

WARRANTIES BY THE LICENSOR. The Licensor warrants for the benefit of the Licensee that: (a) the Licensor has the Right and full power and authority to enter into this Agreement; (b) the Licensor shall refrain from entering a Contract which reasonably and foreseeably will interfere with the full and prompt performance of the Licensor of this Agreement; (c) the covenants and warranties of the Licensor contained in this Agreement shall not merge in nor be extinguished, but shall be and remain in full force and effect until satisfied or discharged in accordance with the terms of this Agreement; (d) the Intellectual Property Rights do not and will not when used in accordance with this Agreement, infringe the intellectual property rights of any person.
