Common use of Warranties True Clause in Contracts

Warranties True. The representations and warranties of the Purchaser made in this Agreement and the Related Agreements that are qualified as to materiality shall be true and correct, and those not so qualified shall be true and correct in all material respects, as of the date hereof and as of the Closing Date as though made on the Closing Date, except to the extent such representations and warranties expressly relate to an earlier date (in which case such representations and warranties qualified as to materiality shall be true and correct, and those not so qualified shall be true and correct in all material respects, on and as of such earlier date).

Warranties True. The representations and warranties of the Purchaser made in this Agreement and the Related Agreements that are qualified as to materiality shall be true and correct, and those not so qualified --------------- contained herein shall be true and correct in all material respects, Material respects as of the date hereof of this Agreement and (except to the extent such representations and warranties are made as of an earlier date, which representations and warranties shall be true and correct in all Material respects at and as of such date) as of the Closing Date as though made on and as of the Closing Date, in each case except to the extent such representations and warranties for changes expressly relate to an earlier date (in which case such representations and warranties qualified as to materiality shall be true and correct, and those not so qualified shall be true and correct in all material respects, on and as of such earlier date)contemplated by this Agreement.

The representations and warranties of the Purchaser made Selling Parties and the Principal Stockholders in this Agreement and the Related Agreements that are qualified as to materiality shall be true and correct, and those not so qualified shall be true and correct in all material respects, as of the date hereof and as of the Closing Date as though made on the Closing Date, except to the extent such representations and warranties expressly relate to an earlier date (in which case such representations and warranties qualified as to materiality shall be true and correct, and those not so qualified shall be true and correct in all material respects, on and as of such earlier date).
