Withdrawal Process. A Project Participant who withdraws from this Agreement shall remain liable for payment of its share of the Water Charge. If the withdrawing Project Participant has submitted a Project Water Estimate to the Cooperative for the current Fiscal Year, then it shall remain liable to pay the Water Charge for that Fiscal Year, as if it had taken the entire quantity of Project Water specified in its Project Estimate. Additionally, unless the remaining Project Participants take all or a portion of the withdrawing Project Participant’s Water Allotment, the withdrawing Project Participant shall continue to remain liable for paymentof its share of the Base Rate Charge. This liability shall continue for the term of the Agreement, until such time as the withdrawing Project Participant’s Water Allotment is completely redistributed among the remaining Project Participants.
Withdrawal Process. The Members acknowledge that the withdrawal of a Member may impact the operations and financial condition of the Company, and may adversely impact the Company’s ability to perform its contractual obligations. If no withdrawal agreement is agreed to and executed within that time, the provisions of Section 11.3 through Section 11.6 will govern the withdrawal process and the Member will comply with all reasonable requirements the Company imposes on the withdrawing Member to mitigate such results, including, for example, continued participation in Company activities on the then existing terms and conditions for a period of up to ninety (90) days beyond such Member’s withdrawal; provided that the Company may not impose any new obligations on the withdrawing Member.

Paramedics wishing to leave the program must either maintain their paramedic license or obtain an Alameda County EMT certification prior to withdrawal and maintain this certification as a condition of employment. E. Any Paramedics who promoted to a higher rank will no longer receive premium paramedic pay.may maintain their paramedic licenses. If the employee wishes to maintain his/her license, tThe Department agrees to cover the costs of C.E. licensing and continuing education as outlined in Section 12.4 of this M.O.U MOU.
