Without Good Reason. Executive may voluntarily terminate Executive’s employment without Good Reason by delivering to the Company a Notice of Termination not less than thirty (30) days prior to the termination of Executive’s employment and the Company shall have the option of terminating Executive’s duties and responsibilities prior to the expiration of such thirty (30) day notice period (in which case Executive shall not receive any payment of Executive’s salary or other compensation for the balance of such thirty (30) day period), and Executive shall be entitled to the benefits provided in Section 8(a) hereof through the last day of such notice period.

Without Good Reason. The Executive may at any time voluntarily terminate the Executive’s employment hereunder without Good Reason. The Company acknowledges that the Executive is not required to, but requests that the Executive provide the Company the courtesy of thirty (30) days’ prior written notice. In the event Executive voluntarily terminates Executive’s employment without Good Reason by delivering to Reason, then the Company a Notice will pay the Executive only the unpaid portion of the Base Salary and such benefits as have accrued and are unpaid as of the Effective Date of Termination not less than thirty (30) days prior to the termination of Executive’s employment under Section 5 hereof and the Company shall have the option of terminating Executive’s duties and responsibilities prior to the expiration of such thirty (30) day notice period (any benefit program in which case the Executive shall not receive any payment of Executive’s salary or other compensation for the balance of such thirty (30) day period), and Executive shall be entitled to the benefits provided in Section 8(a) hereof through the last day of such notice periodis a participant.

Executive may voluntarily terminate Executive’s employment with the Company hereunder without Good Reason by delivering delivery of a written notice of resignation to the Company a Notice setting forth the date of Termination not less than resignation and giving at least thirty (30) days prior to days’ advance notice of such resignation. Notwithstanding the termination foregoing, in the event that Executive terminates his employment without Good Reason, the Company may, in its sole discretion waive all or any portion of Executive’s employment and the Company shall have the option of terminating Executive’s duties and responsibilities prior to the expiration of such thirty (30) day resignation notice period (without payment in which case Executive shall not receive any payment of Executive’s salary or other compensation for the balance of such thirty (30) day periodlieu thereof), and Executive shall be entitled to the benefits provided in Section 8(a) hereof through the last day of such notice period.

The Executive may voluntarily terminate Executive’s his employment hereunder without Good Reason by delivering to Reason, provided that the Executive provides the Company a Notice with notice of Termination not less than his intent to terminate his employment at least thirty (30) days prior to in advance of the termination Date of Executive’s employment and the Company shall have the option of terminating Executive’s duties and responsibilities prior to the expiration of such thirty Termination (30) day notice period (in which case Executive shall not receive any payment of Executive’s salary or other compensation for the balance of such thirty (30) day period), and Executive shall be entitled to the benefits provided as defined in Section 8(a) hereof through the last day of such notice period4 below).
