Common use of Without prejudice to the generality of Clause 8 Clause in Contracts

Without prejudice to the generality of Clause 8. 1.1 Bay Tree VA shall, in relation to any Personal Data processed in connection with the performance by Bay Tree VA of its obligations under this Agreement: 8.1.4.1 process that Personal Data only on the documented instructions of the Client (unless Bay Tree VA is otherwise required to process that Personal Data by Applicable Laws); 8.1.4.2 put in place appropriate measures to ensure the security of processing of the Personal Data; 8.1.4.3 ensure that all personnel who have access to and/or process Personal Data are obliged to keep the Personal Data confidential; 8.1.4.4 not transfer any Personal Data outside of the European Economic Area unless the prior written consent of the Client has been obtained and appropriate safeguards have been put in place; 8.1.4.5 assist the Client, at the Client's cost, in responding to any request from a Data Subject and in ensuring compliance with its obligations under the Data Protection Legislation with respect to security, breach notification, impact assessments and consultations with supervisory authorities or regulators. 8.1.4.6 notify the Client without undue delay on becoming aware of a Personal Data breach; 8.1.4.7 at the Client’s request, delete or return all Personal Data to the Client at the end of the Agreement; 8.1.4.8 maintain complete and accurate records and information to demonstrate compliance with this clause 8 and allow for audits by the Client or the Client’s designated auditor. Bay Tree VA will inform the Client immediately if, in its opinion, such an instruction infringes the Data Protection Legislation.
