Common use of Work Product and Intellectual Property Rights Clause in Contracts

Work Product and Intellectual Property Rights. a. The results and proceeds of the Second Party’s services and all ideas of the Second Party in connection with the services rendered in accordance with the tasks specified in this Agreement, including without limitation all material composed, submitted, added, created, or interpolated by the Second Party, from the inception of creation and irrespective of the stage of development or completion of any work (collectively, hereafter the “Work”), which the Second Party acknowledges may have been or may be rendered in collaboration with others engaged by the First Party, shall be deemed a work-made-for-hire specifically ordered by the First Party, and the Second Party hereby further acknowledges that all of the Work has been paid for by First Party and is the sole property of First Party for any and all purposes whatsoever. b. Contractor will promptly disclose in writing to Mercy Corps all Work Product that Contractor creates, alone or jointly with others, in the performance of its obligations under this Contract. c. Contractor hereby irrevocably assigns and transfers to Mercy Corps (i) all rights, title and interest in all Work Product, (ii) all related rights and remedies, and (iii) all claims (for damages or otherwise) and causes of action with respect to any Work Product. d.
