Common use of Works Clause in Contracts

Works. Executive acknowledges that Executive’s work on and contributions to documents, programs, methodologies, protocols, and other expressions in any tangible medium (including, without limitation, all business ideas and methods, inventions, innovations, developments, graphic designs, web site designs, patterns, specifications, procedures or processes, market research, databases, works of authorship, products and other works of creative authorship) which have been or will be prepared by Executive, or to which Executive has contributed or will contribute, in connection with Executive’s services to any Rocket Company (collectively, “Works”), are and will be within the scope of Executive’s employment and part of Executive’s duties and responsibilities. Executive’s work on and contributions to the Works will be rendered and made by Executive for, at the instigation of, and under the overall direction of any Rocket Company, and are and at all times shall be regarded, together with the Works, as “work made for hire” as that term is used in the United States Copyright Laws. However, to the extent that any court or agency should conclude that the Works (or any of them) do not constitute or qualify as a “work made for hire”, Executive hereby assigns, grants, and delivers exclusively and throughout the world to the Company all rights, titles and interests in and to any such Works, and all copies and versions, including all copyrights and renewals. Executive agrees to cooperate with the Company and to execute and deliver to the Company and its successors and assigns, any assignments and documents the Company requests for the purpose of establishing, evidencing, and enforcing or defending its complete, exclusive, perpetual and worldwide ownership of all rights, titles and interests of every kind and nature, including all copyrights, in and to the Works, and Executive constitutes and appoints the Company as its agent to execute and deliver any assignments or documents Executive fails or refuses to execute and deliver, this power and agency being coupled with an interest and being irrevocable. Without limiting the preceding provisions of this Section 11(a), Executive agrees that the Company may edit and otherwise modify, and use, publish and otherwise exploit, the Works in all media and in such manner as the Company, in its sole discretion, may determine.

Works. Executive agrees to cooperate with the Company Carmike and to execute and deliver to the Company and Carmike, its successors and assigns, any assignments and documents the Company Carmike requests for the purpose of establishing, evidencing, and enforcing or defending its complete, exclusive, perpetual perpetual, and worldwide ownership of all rights, titles titles, and interests of every kind and nature, including all copyrights, in and to the Works, and Executive constitutes and appoints the Company Carmike as its his agent to execute and deliver any assignments or documents Executive fails or refuses to execute and deliver, this power and agency being coupled with an interest and being irrevocable. Without limiting the preceding provisions of this Section 11(a)§ 5.1, Executive agrees that the Company Carmike may edit and otherwise modify, and use, publish and otherwise exploit, the Works in all media and in such manner as the CompanyCarmike, in its sole discretion, may determine.

Executive agrees to cooperate with the Company Carmike and to execute and deliver to the Company and Carmike, its successors and assigns, any assignments and documents the Company Carmike requests for the purpose of establishing, evidencing, and enforcing or defending its complete, exclusive, perpetual perpetual, and worldwide ownership of all rights, titles titles, and interests of every kind and nature, including all copyrights, in and to the Works, and Executive constitutes and appoints the Company Carmike as its his agent to execute and deliver any assignments or documents Executive fails or refuses to execute and deliver, this power and agency being coupled with an interest and being irrevocable. Without limiting the preceding provisions of this Section 11(a)§ 9.1, Executive agrees that the Company Carmike may edit and otherwise modify, and use, publish and otherwise exploit, the Works in all media and in such manner as the CompanyCarmike, in its sole discretion, may determine.

Executive Employee acknowledges that ExecutiveEmployee’s work on and contributions to documents, programs, methodologies, protocols, and other expressions in any tangible medium (including, without limitation, all business ideas and methods, inventions, innovations, developments, graphic designs, web site designs, patterns, specifications, procedures or processes, market research, databases, works of authorship, products and other works of creative authorship) which have been or will be prepared by ExecutiveEmployee, or to which Executive Employee has contributed or will contribute, in connection with ExecutiveEmployee’s services to any Rocket the Company (collectively, “Works”), are and will be within the scope of ExecutiveEmployee’s employment and part of ExecutiveEmployee’s duties and responsibilities. ExecutiveEmployee’s work on and contributions to the Works will be rendered and made by Executive Employee for, at the instigation of, and under the overall direction of any Rocket of, the Company, and are and at all times shall be regarded, together with the Works, as “work made for hire” as that term is used in the United States Copyright Laws. However, to the extent that any court or agency should conclude that the Works (or any of them) do not constitute or qualify as a “work made for hire”, Executive Employee hereby assigns, grants, and delivers exclusively and throughout the world to the Company all rights, titles titles, and interests in and to any such Works, and all copies and versions, including all copyrights and renewals. Executive Employee agrees to cooperate with the Company and to execute and deliver to the Company and Company, its successors and assigns, any assignments and documents the Company requests for the purpose of establishing, evidencing, and enforcing or defending its complete, exclusive, perpetual perpetual, and worldwide ownership of all rights, titles titles, and interests of every kind and nature, including all copyrights, in and to the Works, and Executive Employee constitutes and appoints the Company as its agent to execute and deliver any assignments or documents Executive Employee fails or refuses to execute and deliver, this power and agency being coupled with an interest and being irrevocable. Without limiting the preceding provisions of this Section 11(a§ 10(a), Executive Employee agrees that the Company may edit and otherwise modify, and use, publish and otherwise exploit, the Works in all media and in such manner as the Company, in its sole discretion, may determine.

Works. Executive Employee acknowledges that Executive’s Employee's work on and contributions to documents, programs, methodologies, protocols, and other expressions in any tangible medium (including, without limitation, all business ideas and methods, inventions, innovations, developments, graphic designs, web site designs, patterns, specifications, procedures or processes, market research, databases, works of authorship, products and other works of creative authorship) which have been or will be prepared by ExecutiveEmployee, or to which Executive Employee has contributed or will contribute, in connection with Executive’s Employee's services to any Rocket the Company (collectively, “"Works”"), are and will be within the scope of Executive’s employment Employee's services and part of Executive’s Employee's duties and responsibilities. Executive’s Employee's work on and contributions to the Works will be rendered and made by Executive Employee for, at the instigation of, and under the overall direction of any Rocket of, the Company, and are and at all times shall be regarded, together with the Works, as “"work made for hire” " as that term is used in the United States Copyright Laws. However, to the extent that any court or agency should conclude that the Works (or any of them) do not constitute or qualify as a “"work made for hire”", Executive Employee hereby assigns, grants, and delivers exclusively and throughout the world to the Company all rights, titles titles, and interests in and to any such Works, and all copies and versions, including all copyrights and renewals. Executive Employee agrees to cooperate with the Company and to execute and deliver to the Company and Company, its successors and assigns, any assignments and documents the Company requests for the purpose of establishing, evidencing, and enforcing or defending its complete, exclusive, perpetual perpetual, and worldwide ownership of all rights, titles titles, and interests of every kind and nature, including all copyrights, in and to the Works, and Executive Employee constitutes and appoints the Company as its agent to execute and deliver any assignments or documents Executive Employee fails or refuses to execute and deliver, this power and agency being coupled with an interest and being irrevocable. Without limiting the preceding provisions of this Section Paragraph 11(a), Executive Employee agrees that the Company may edit and otherwise modify, and use, publish and otherwise exploit, the Works in all media and in such manner as the Company, in its sole discretion, may determine.

Works. Executive You acknowledges that Executive’s your work on and contributions to documents, programs, methodologies, protocols, and other expressions in any tangible medium (including, without limitation, all business ideas and methods, store concepts, inventions, innovations, developments, graphic designs (such as catalog designs, in-store signage and posters), web site designs, patterns, specifications, procedures or processes, market research, databases, works of authorship, products products, and other works of creative authorship) which have been or will be prepared by Executiveyou, or to which Executive has you have contributed or will contribute, in connection with Executive’s your services to any Rocket J.J▇▇▇ Company (collectively, “"Works”"), are and will be within the scope of Executive’s your employment and part of Executive’s your duties and responsibilities. Executive’s Your work on and contributions to the Works will be rendered and made by Executive you for, at the instigation of, and under the overall direction of any Rocket J.J▇▇▇ Company, and are and at all times shall be regarded, together with the Works, as “"work made for hire” " as that term is used in the United States Copyright Laws. However, to the extent that any court or agency should conclude that the Works (or any of them) do not constitute or qualify as a “"work made for hire”," you hereby assign, Executive hereby assigns, grantsgrant, and delivers deliver exclusively and throughout the world to the Company J.J▇▇▇ all rights, titles titles, and interests in and to any such Works, and all copies and versions, including all copyrights and renewals. Executive agrees You agree to cooperate with the Company J.▇▇▇▇ and to execute and deliver to the Company J.J▇▇▇ and its successors and assigns, any assignments and documents the Company that J.J▇▇▇ requests for the purpose of establishing, evidencing, and enforcing or defending its complete, exclusive, perpetual perpetual, and worldwide ownership of all rights, titles titles, and interests of every kind and nature, including all copyrights, in and to the Works, and Executive constitutes you constitute and appoints the Company appoint J.J▇▇▇ as its your agent to execute and deliver any assignments or documents Executive fails that you fail or refuses refuse to execute and deliver, this power and agency being coupled with an interest and being irrevocable. Without limiting the preceding provisions of this Section 11(a5(a), Executive agrees you agree that the Company may J.J▇▇▇ ▇▇▇ edit and otherwise modify, and use, publish and otherwise exploit, the Works in all media and in such manner as the CompanyJ.J▇▇▇, in its sole discretion, may determine.

Works. Executive Employee acknowledges that ExecutiveEmployee’s work on and contributions to documentswritings, tapes, recordings, computer programs, methodologies, protocols, and other expressions works in any tangible medium (including, without limitation, all business ideas and methods, inventions, innovations, developments, graphic designs, web site designs, patterns, specifications, procedures or processes, market research, databases, works of authorship, products and other works of creative authorship) which have been or will be prepared by Executive, or to which Executive has contributed or will contribute, in connection with Executive’s services to any Rocket Company expression (collectively, “Works”), ) are and will be within the scope of ExecutiveEmployee’s employment and part of ExecutiveEmployee’s duties and responsibilitiesduties, responsibilities or assignment. ExecutiveEmployee’s work on and contributions to the Works will be rendered and made by Executive Employee for, at the instigation of, and under the overall direction of any Rocket Companyof, the Parent, and all such work and contributions, together with the Works, are and at all times shall be regarded, together with the Works, regarded as “work made for hire” as that term is used in the United States Copyright LawsLaws and shall belong solely, irrevocably, and exclusively throughout the world to the Parent. HoweverWithout limiting this acknowledgment, to the extent that any court or agency should conclude that the Works (or any of them) do not constitute or qualify as a “work made for hire”, Executive hereby ,” Employee assigns, grants, and delivers exclusively and throughout the world to the Company Parent all rights, titles titles, and interests in and to any such Works, and all copies and versions, including all copyrights and renewals. Executive agrees to cooperate with the Company and to Employee will execute and deliver to the Company and Parent, its successors and assigns, any assignments and documents the Company Parent requests for the purpose of establishing, evidencing, registering, and enforcing or defending its complete, exclusive, perpetual perpetual, and worldwide ownership of all rights, titles titles, and interests of every kind and nature, including all copyrights, in and to the Works, and Executive Employee constitutes and appoints the Company Parent as its agent to execute and deliver any assignments or documents Executive Employee fails or refuses to execute and deliver, this power and agency being coupled with an interest and being irrevocable. Without limiting the preceding provisions of this Section 11(a)Section, Executive Employee agrees that the Company Parent may edit and otherwise modify, and use, publish publish, and otherwise exploit, exploit the Works in all media and in such manner as the CompanyParent, in its sole discretion, may determine. Employee’s work on and contributions to Works that prove valuable to Parent and its Affiliates will be considered by Parent and Buyer in decisions concerning discretionary bonus and other incentive compensation to Employee.
