Your Modifications Sample Clauses

Your Modifications. Subject to the terms and conditions of this Agreement (including without limitation Section 2 (Combining the Products with Open Source Software) of Third Party Code in Digital Samba Products): (1) for any elements of the Software provided by Digital Samba in source code form, and to the extent permitted in the Documentation, you may modify such source code solely for purposes of implementing permitted customizations for the Software and (2) you may also modify the Documentation to reflect your permitted modifications of the Software source code or the particular use of the Products within your organization. Any modified source code or Documentation constitutes “Your Modifications”. You may use Your Modifications solely with respect to your own instances in support of your permitted use of the Software but you may not distribute the code to Your Modifications to any third party. Notwithstanding anything in this Agreement to the contrary, Digital Samba has no support, warranty, indemnification or other obligation or liability with respect to Your Modifications or their combination, interaction or use with our Products. You shall indemnify, defend and hold us harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including reasonable attorneys’ fees and costs) arising out of or in connection with any claim brought against us by a third party relating to Your Modifications (including but not limited to any representations or warranties you make about Your Modifications or the Software, or infringement, violation or misappropriation of any third property intellectual property and other proprietary rights) or your breach of this Section 6.

Your Modifications. Subject to the terms and conditions of this Agreement (including without limitation Section 2 (Combining the Products with Open Source Software) of Third Party Code in SOLITEC Products): (1) for any elements of the Software provided by SOLITEC in source code form, and to the extent permitted in the Documentation, you may modify such source code solely for purposes of developing bug fixes, customizations and additional features for the Software and

Your Modifications. Subject to the terms and conditions of this Agreement (including without limitation Section 2 (Combining the Products with Open Source Software) of Third Party Code in THR Consulting Products): (1) for any elements of the Software provided by THR Consulting in source code form, and to the extent permitted in the Documentation, you may modify such source code solely for purposes of developing bug fixes, customizations and additional features for the Software and (2) you may also modify the Documentation to reflect your permitted modifications of the Software source code or the particular use of the Products within your organization. Any modified source code or Documentation constitutes “Your Modifications”. You may use Your Modifications solely with respect to your own instances in support of your permitted use of the Software but you may not distribute the code to Your Modifications to any third party. Notwithstanding anything in this Agreement to the contrary, THR Consulting has no support, warranty, indemnification or other obligation or liability with respect to Your Modifications or their combination, interaction or use with our Products. You shall indemnify, defend and hold us harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including reasonable attorneys’ fees and costs) arising out of or in connection with any claim brought against us by a third party relating to Your Modifications (including but not limited to any representations or warranties you make about Your Modifications or the Software) or your breach of this Section 6.3. This indemnification obligation is subject to your receiving (i) prompt written notice of such claim (but in any event notice in sufficient time for you to respond without prejudice); (ii) the exclusive right to control and direct the investigation, defense, or settlement of such claim; and (iii) all reasonably necessary cooperation of THR Consulting at your expense.

Any modified source code or Documentation constitutes “Your Modifications”. You may use Your Modifications solely in support of your permitted use of the Software (and only with your own instances of the Software), but you may not distribute the code to Your Modifications to any Third-party. Notwithstanding anything in this Agreement to the contrary, Perfana has no support, warranty, indemnification or other obligation or liability with respect to Your Modifications or their combination, interaction or use with our Software.

Your Modifications. The Product enables modification of its functionality and behaviour through a rules engine and through customised content. These changes constitute “Your Modifications”. You may use Your Modifications solely with respect to your own instances of the Product in support of your permitted use of the Software but you may not distribute the code of Your Modifications to any third party. Notwithstanding anything in these Terms to the contrary, IriusRisk provides no support, warranty, indemnification or other obligation or liability with respect to Your Modifications or their combination, interaction or use with our Products. You agree to indemnify, defend and hold us harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including reasonable attorneys’ fees and costs) arising out of or in connection with any claim brought against us by a third party relating to Your Modifications (including but not limited to any representations or warranties you make about Your Modifications or the Software when enabled).

Your Modifications. You will notify us in writing of any modifications made to the Your Licensed Software by you or on your behalf (“Your Modifications”). We are not responsible for maintaining or supporting Your Modifications, or for maintaining or supporting the portions of Your Licensed Software affected by Your Modifications. Troubleshooting, fixes, reconfiguration, reinstallation, and other work that we agree to provide in our sole discretion resulting from the acts or omissions of you or your employees, contractors or agents (e.g., errors introduced in system changes) and/or from Your Modifications are outside of the scope of Support and Maintenance Services and will be billed to you at our standard time and materials rate, and you agree to pay such charges.
