▇▇▇▇▇▇▇ Representative. Notwithstanding anything herein to the contrary, the ▇▇▇▇▇▇▇ Limited Partners hereby designate JQH as agent and attorney-in-fact (the "▇▇▇▇▇▇▇ REPRESENTATIVE") for all of the ▇▇▇▇▇▇▇ Limited Partners, to act for and on behalf of the ▇▇▇▇▇▇▇ Limited Partners and to exercise any of the rights of the ▇▇▇▇▇▇▇ Limited Partners under this Agreement, including, without limitation, to give and receive notices and communications, to review and confirm the amount of Net Worth and to take all other actions necessary or appropriate in the sole and absolute good faith judgment of the ▇▇▇▇▇▇▇ Representative for the accomplishment of the foregoing. The ▇▇▇▇▇▇▇ Representative may be replaced by the ▇▇▇▇▇▇▇ Limited Partners from time to time upon not less than thirty (30) days' prior written notice to the General Partner upon the Consent of the ▇▇▇▇▇▇▇ Limited Partners. Any vacancy in the position of ▇▇▇▇▇▇▇ Representative whether due to resignation of the ▇▇▇▇▇▇▇ Representative, Incapacity or otherwise may be filled by a replacement ▇▇▇▇▇▇▇ Representative appointed (i) by the outgoing ▇▇▇▇▇▇▇ Representative or (ii) by Consent of the ▇▇▇▇▇▇▇ Limited Partners. Notices or communications to or from the ▇▇▇▇▇▇▇ Representative shall constitute notice to or from each of the ▇▇▇▇▇▇▇ Limited Partners. Any decision, act, consent or instruction taken or given by the ▇▇▇▇▇▇▇ Representative pursuant to this Agreement shall be and constitute a decision, act, consent or instruction of all ▇▇▇▇▇▇▇ Limited Partners and shall be final, binding and conclusive upon each such ▇▇▇▇▇▇▇ Limited Partner; and the Partnership, the General Partner and the other Partners may rely upon any such decision, act, consent or instruction of the ▇▇▇▇▇▇▇ Representative as being the decision, act, consent or instruction of each and every ▇▇▇▇▇▇▇ Limited Partner. The Partnership, the General Partner and the other Partners are hereby relieved from any liability to any person for any acts done by them in accordance with such decision, act, consent or instruction of the ▇▇▇▇▇▇▇ Representative.
▇▇▇▇▇▇▇ Representative. Each season through an election coordinated by GLC, the Vendors shall elect a Vendors' Representative for the Market season.
▇▇▇▇▇▇▇ Representative. Each employee covered by this Agreement shall have the right to ▇▇▇▇▇▇▇ representation, if he/she so desires, in any meeting where disciplinary action of any kind is to be taken or considered, or from which discipline may result. Each shift shall have a designated ▇▇▇▇▇▇▇ to represent employees. A list of Union and City representatives, officials and contract committee members shall be filed every year on November 1st with the City Manager and the Fire Chief and/or within two (2) weeks after any change made during the year. One Union ▇▇▇▇▇▇▇ or representative on each shift shall be permitted to investigate alleged Union grievances with the Grievant or those involved during the ▇▇▇▇▇▇▇’▇ normal working hours for which there shall be no loss of pay. However, such Union ▇▇▇▇▇▇▇ shall not engage in such activities and be paid, therefore, in the excess of four (4) hours per week. Before engaging in such activity, such ▇▇▇▇▇▇▇ shall notify his/her immediate Supervisor that he/she is going to engage in this activity and he/she must file a report once a month, detailing the dates and times and the activity engaged in for this purpose. The Union President, as the employee representative, may attend the arbitration hearing of any employee grievance if scheduling requires the hearing to be held while the local president is on duty. When any Union official engages in either collective bargaining for a contract or a reopener thereof, or an arbitration or special master hearing, he/she shall not be compensated as though he/she worked for the Employer. The Union, if it desires, will have to compensate such person for missing time from work.
▇▇▇▇▇▇▇ Representative. The Customer contact has the technical knowledge regarding the Application and any other software or hardware systems involved, and in the facts and circumstances surrounding the Issue;
▇▇▇▇▇▇▇ Representative. The holder or the holder’s designated representative shall be within the permit area at all times when the facilities are open to the public. The holder shall notify the authorized officer in writing who the holder’s representative will be.

(i) Each Seller hereby irrevocably appoints ▇▇▇▇▇▇ ▇▇▇▇▇▇ as the Sellers’ Representative as the sole agent of the Sellers to act on behalf of the Sellers regarding any matter relating to or arising after the Effective Date under this Agreement, including for the purposes of: (i) receiving any payments due from Buyer that are required under the terms of this Agreement to be paid to the Sellers and distributing such payments to the Sellers, as applicable, in accordance with this Agreement; (ii) taking any action on behalf of the Sellers, or any individual Seller, that may be necessary or desirable, as determined by the Sellers’ Representative in its sole discretion, in connection with the indemnification provisions set forth in Article 15 and any amendment of this Agreement in accordance with Section 17.05; (iii) accepting notices on behalf of the Sellers in accordance with Section 17.01; (iv) executing and delivering, on behalf of the Sellers, or any individual Seller, any notices, documents or certificates to be executed by the Sellers, or any individual Seller, after the Closing in connection with this Agreement or the Transactions; and (v) granting any consent or approval on behalf of the Sellers, or any individual Seller, under this Agreement after the Closing. The Sellers’ Representative shall act as the agent for each Seller and shall have authority to bind each Seller in accordance with this Agreement.
(ii) The Sellers’ Representative shall be entitled to retain counsel and to incur such costs and expenses as the Sellers’ Representative deems to be necessary or appropriate in the performance of its obligations under this Agreement. The Sellers’ Representative shall be reimbursed for all such costs and expenses (including reasonable attorneys’ fees, costs and expenses) by the Sellers.
(iii) Buyer may rely exclusively, without independent verification or investigation, upon all decisions, communications or writings made, given or executed by Sellers’ Representative in accordance with the terms of this Agreement in connection with this Agreement and the Transactions. Buyer is entitled to deal exclusively with Sellers’ Representative on all matters relating to this Agreement and the Transactions in accordance with the terms of this Agreement. ▇▇▇▇▇▇▇ Representative. The Company shall inform JPS, by means of the delivery of a Notice of Appointment of the Lenders’ Representative, of the appointment by the Lenders of a legal entity as their sole and common representative for the purpose of the performance of any action, the exercise of any right and the fulfillment of any obligation of the Lenders under this Agreement (the “Lenders’ Representative”). Any notice between JPS and the Lenders, and any action performed by the Lenders shall only be valid, for the purposes of this Agreement, if such notice is made by means of the Lenders’ Representative. For the purpose of this Agreement, the Lenders’ Representative shall establish domicile in Jamaica. The Lenders’ Representative may be replaced from time to time by means of the issue of a Notice of Appointment of the Lenders’ Representative to JPS. Such new notice shall be signed by the Company and by the Lenders’ Representative which has been replaced.
▇▇▇▇▇▇▇ Representative. SLOSAFE shall designate a Project Manager who shall represent SLOSAFE in all matters pertaining to the services to be rendered pursuant to this Agreement. He/She shall have authority to resolve disputes arising under this Agreement. Any other SLOSAFE personnel assigned to this Project shall be assigned for the convenience of SLOSAFE.
