The undersigned hereby certifies that he is the duly elected, qualified, and acting Secretary of Tri-County Financial Group, Inc., a Delaware corporation (the “Company”), and that as such he is authorized to execute and deliver this certificate in the name and on behalf of the Company in connection with the Stock Purchase Agreement, dated as of October 6, 2017, by and among the Company and Castle Creek Capital Partners VI, LP (the “Stock Purchase Agreement”), and further certifies in his official capacity, in the name and on behalf of the Company, the items set forth below. Capitalized terms used but not otherwise defined herein shall have the meaning set forth in the Stock Purchase Agreement.
