AMENDMENT NO. 1

TO

MASTER INTERGROUP SUB-ADVISORY CONTRACT

This Amendment dated as of December 3, 2012, amends the Master Intergroup Sub-Advisory Contract (the “Contract”), dated October 15, 2012 by and among Invesco Advisers, Inc. (the “Adviser”), on behalf of Invesco ▇▇▇ ▇▇▇▇▇▇ Senior Loan Fund, and each of Invesco Canada Ltd., Invesco Asset Management Deutschland GmbH, Invesco Asset Management Limited, Invesco Asset Management (Japan) Ltd., Invesco Australia Limited, Invesco Hong Kong Limited, and Invesco Senior Secured Management, Inc. (each a “Sub-Adviser” and, collectively, the “Sub-Advisers”).

WHEREAS, the Trust desires to amend the Agreement to change the name of the Trust from Invesco ▇▇▇ ▇▇▇▇▇▇ Senior Loan Fund to Invesco Senior Loan Fund;
