BRAZOS MUTUAL FUNDS AMENDMENT TO PROSPECT SERVICING AGREEMENT

AMENDMENT TO PROSPECT SERVICING AGREEMENT

THIS AMENDMENT dated as of the 10th day of July, 2008, to the Prospect Servicing Agreement, dated as of November 25, 2002, (the “Agreement”), is entered into by and among BRAZOS MUTUAL FUNDS, a Delaware business trust (the “Trust”), BRAZOS CAPITAL MANAGEMENT, L.P. (the “Adviser”) and U.S. BANCORP FUND SERVICES, LLC, a Wisconsin limited liability company (”USBFS”).

RECITALS

WHEREAS, the parties have entered into an Agreement; and

WHEREAS, the parties desire to amend the fees of said Agreement; and

WHEREAS, Section 8 of the Agreement allows for its amendment by written agreement executed by the parties; and

NOW THEREFORE, the parties agree to amend the following:

Exhibit B of the Agreement is hereby superseded and replaced with Exhibit B attached hereto.

Except to the extent amended hereby, the Agreement shall remain in full force and effect.
