AMENDMENT NO. 1

TO

MASTER INTERGROUP SUB-ADVISORY CONTRACT

This Amendment dated as of December 3, 2012, amends the Master Intergroup Sub-Advisory Contract (the “Contract”), dated August 27, 2012 by and among Invesco Advisers, Inc. (the “Adviser”), on behalf of Invesco ▇▇▇ ▇▇▇▇▇▇ Senior Income Trust, and each of Invesco Canada Ltd., Invesco Asset Management Deutschland GmbH, Invesco Asset Management Limited, Invesco Asset Management (Japan) Ltd., Invesco Australia Limited, Invesco Hong Kong Limited, and Invesco Senior Secured Management, Inc. (each a “Sub-Adviser” and, collectively, the “Sub-Advisers”).

WHEREAS, the Trust desires to amend the Agreement to change the name of the Trust from Invesco ▇▇▇ ▇▇▇▇▇▇ Senior Income Trust to Invesco Senior Income Trust;
