AMENDMENT NO. 16 TO AMENDED AND RESTATED AGREEMENT AND DECLARATION OF TRUST OF AIM VARIABLE INSURANCE FUNDS

AMENDMENT NO. 16
TO
AMENDED AND RESTATED AGREEMENT AND DECLARATION OF TRUST
OF
AIM VARIABLE INSURANCE FUNDS

     This Amendment No. 16 to the Amended and Restated Agreement and Declaration of Trust of AIM Variable Insurance Funds (this “Amendment”) amends, effective as of February 12, 2010, the Amended and Restated Agreement and Declaration of Trust of AIM Variable Insurance Funds dated as of September 14, 2005, as amended (the “Agreement”).

     Under Section 9.7 of the Agreement, this Amendment may be executed by a duly authorized officer of the Trust.

     WHEREAS, the parties desire to amend the Agreement to change the name of ▇▇▇ ▇▇▇▇▇▇ V.I. Capital Growth Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. ▇▇▇▇▇▇▇▇ Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. Equity and Income Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. Global Tactical Asset Allocation Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. Global Value Equity Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. Government Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. Growth and Income Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. High Yield Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. International Growth Equity Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. Mid Cap Growth Fund, ▇▇▇ ▇▇▇▇▇▇ V.I. Mid Cap Value Fund and ▇▇▇ ▇▇▇▇▇▇ V.I. Value Fund to Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Capital Growth Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. ▇▇▇▇▇▇▇▇ Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Equity and Income Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Global Tactical Asset Allocation Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Global Value Equity Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Government Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Growth and Income Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. High Yield Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. International Growth Equity Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Mid Cap Growth Fund, Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Mid Cap Value Fund and Invesco ▇▇▇ ▇▇▇▇▇▇ V.I. Value Fund, respectively;

     NOW, THEREFORE, the Agreement is hereby amended as follows:

     1. Schedule A of the Agreement is hereby deleted in its entirety and replaced with the following:

     2. All references in the Agreement to “this Agreement” shall mean the Agreement as amended by this Amendment.

     3. Except as specifically amended by this Amendment, the Agreement is hereby confirmed and remains in full force and effect.
