Section 6A of the Agreement is effective immediately upon the Execution Date. The remainder of the Agreement will become effective upon, and is contingent upon, PubCo gaining admission to the AIM market of the London Stock Exchange and the admission for trading of PubCo’s common stock on such exchange (the “IPO”), and the Executive remaining employed by the Company through such date (the “Effective Date”).
