This Assignment and Assumption Agreement (the “Agreement”) made as of the day of April, 2024 between KH REALTY II LLC, a New York limited liability company, with offices c/o McCarthy Fingar LLP, 711 Westchester Avenue, Suite 405, White Plains, New York 10604 (“KH”) and KIM HARRIS LLC, a New York limited liability company, d/b/a The Perennial Chef, with offices c/o McCarthy Fingar LLP, 711 Westchester Avenue, Suite 405, White Plains, New York 10604 (“Perennial” and together with KH, being hereinafter referred to, collectively, as “Assignor”) and 130-132 E MAIN STREET LLC, a New York limited liability company, with an address at c/o Princeton Realty Group, 333 North Bedford Road, Suite 140, Mt. Kisco, New York 10549 (“130-132”) and SOULFUEL SOCIAL GROUP LLC, a New York limited liability company with an address at 82 Todd Road, Katonah, New York 10536 (“Soulfuel” and together with 130-132, being hereinafter referred to, collectively, as “Assignee”).
