SUBORDINATED INDENTURE, dated as of , by and among (i) HYDRO ONE HOLDINGS LIMITED, a corporation duly organized and existing under the laws of the Province of Ontario (herein called the “Corporation”), having its principal office at 483 Bay Street, 8th Floor, South Tower, Toronto, Ontario M5G 2P5, (ii) HYDRO ONE LIMITED, a corporation duly organized and existing under the laws of the Province of Ontario (herein called the “Guarantor”), having its principal office at 483 Bay Street, 8th Floor, South Tower, Toronto, Ontario M5G 2P5, (iii) , as the United States trustee, paying agent, registrar and transfer agent (herein called the “U.S. Trustee”) and (iv) , as the Canadian trustee (herein called the “Canadian Co-Trustee”).
