This Software as a Service License Agreement ("SaaS Agreement") is by and between the legal entity (“Company”) as described in the applicable Quote, as further defined below, and sets forth the terms, conditions, rights and restrictions for which Vena Security, Inc., a Delaware corporation with offices located at 488 Madison Ave, Floor 11, New York, NY 10022 United States, and any of its subsidiaries and affiliates (collectively or individually referred to as "Vendor") is willing to license Vendor’s proprietary software ("Software") and third-party software, and provide consulting, installation, configuration, maintenance and technical support services (collectively referred to as "Services") to Company. Unless otherwise governed by a signed contract between Company and Vendor, this SaaS Agreement will apply to any Quotes made for Vendor’s Software, Services and Company’s use thereof and such use is expressly contingent upon Company’s acceptance of this SaaS Agreement, “AS IS”.
