Affiliate: means, with respect to any entity, any other entity that controls, is controlled by, or under common control with such entity. The terms “controls,” “controlled by,” and “under common control with” mean the ownership of at least fifty percent (50%) of the equity or beneficial interests of the entity or the right to vote for or appoint a majority of the board of directors or other governing body of such entity, and any other entity with respect to which any of its Affiliates has management or operational responsibility (even though such Affiliate may own less than fifty percent (50%) of the equity of such entity).
