THIS AGREEMENT is effective as of the 1st day of July, 2015, by and among Cushing MLP Infrastructure Fund I, a Delaware statutory trust (the “Feeder Fund”), Cushing MLP Infrastructure Fund II, a Delaware statutory trust (the “Feeder Fund”), Cushing MLP Infrastructure Master Fund (the “Master Fund”), a Delaware statutory trust (the “Master Fund”), and U.S. Bancorp Fund Services, LLC, a Wisconsin limited liability company (“USBFS”). The Feeder Fund and the Master Fund are sometimes referred to herein individually as a “Fund”, and collectively as the “Funds”. The Cushing MLP Infrastructure Fund II is effective on or after September 1, 2015.
