WHEREAS, the EDA and the Developer Contract for Private Development dated July 12, 2001 (as previously restated, superseded and amended, including that certain Second Amended and Restated Contract for Private Redevelopment dated February 12, 2004, and as amended by the Third Amendment to Contract for Private Development, the “Contract”) providing a loan to the Developer of $2,965,455 (the “Authority Loan”) for the acquisition and rehabilitation of the Parkwood Apartments apartment complex, now known as “Creekside Gables Apartments,” (the “Project”), located at 7601 Zane Avenue North in the City on the property described in EXHIBIT A hereto (the “Property”); and
