THIS LOAN PARTICIPATION AGREEMENT (this “Agreement”) is made and entered into as of December 3, 2019 (the “Effective Date”), by and between LSM Initiatives, LLC (“Junior Bridge Lender”), a Texas limited liability company, and those participants listed on Exhibit “A” attached hereto (the “Participants”). Junior Bridge Lender and the Participants are sometimes hereinafter each called a “Lender” and collectively are called the “Lenders”. Capitalized terms used herein and not otherwise defined shall have the meanings associated to such terms in the Note (as defined below).
