ASSET PURCHASE AGREEMENT, dated as of June 22, 2020 (the “Agreement Date”), by and among Comcar Industries, Inc., a company incorporated under the laws of Florida (“Comcar”), CT Transportation, LLC (“CT”), a Delaware limited liability company, and each of Comcar’s and CT’s Subsidiaries and Affiliates listed on the signature pages hereto (together with Comcar and CT, “Sellers” and each, a “Seller”) and Bulk Transport Company East, Inc., a Missouri corporation ( “Buyer”). Each Seller and Buyer are referred to herein individually as a “Party” and collectively as the “Parties”.
