RESEARCH AGREEMENT (this "Agreement"), dated as of May 1, 2022 (the "Effective Date"), by and between CHDI Foundation, Inc., a Florida corporation (the "Foundation"), and Institute of Animal Physiology and Genetics ASCR, v.v.i. (the "Research Institution"). The Research Institution and the Foundation shall hereinafter be referred to individually as a "Party" and collectively as the "Parties".
