AGREEMENT (this "Agreement') of MediaLinks TV, LLC. (the "Company") is entered into as of 12:01 a.m. Eastern Standard Time, January 1, 2019 (“Effective Date”), by China Global Television Network America Corporation, a corporation organized and existing under the laws of the State of Delaware, as the sole member (the “Member”) and the Company. This Agreement amends, restates and supersedes in its entirety that certain Limited Liability Company Agreement of the Company dated June 3,2011.
