This Addendum sets out obligations of the Parties with respect to data protection in relation to the Agreement. To the extent of any conflict or inconsistency between the provisions of this Addendum (including any annexes and appendices thereto) and any provision of the Agreement, the provisions of this Addendum shall prevail. Except where the context requires otherwise, references in this Addendum to the Agreement are to the Agreement as amended or supplemented by, and including, this Addendum and its exhibits.

This Billtrust Data Processing Addendum (this “Addendum”), including all its exhibits, is entered into by and between Factor Systems, LLC, a Delaware limited liability company doing business as Billtrust, acting on its own and as agent for the Billtrust Affiliates (“Billtrust”), and the customer executing these terms (the “Customer”) (each, a “Party” and, collectively, the “Parties”). This Addendum (including its exhibits) forms part of the Agreement (as defined in Section 1 below) between Billtrust or a Billtrust Affiliate and Customer. This Addendum replaces any data processing agreement that was previously concluded between the Customer and Billtrust.
