THIS SUBDIVISION IMPROVEMENT AGREEMENT (“Agreement”) is made and entered effective as of the day of , 2024 (“Effective Date”), by and between the City of Moab, a Utah municipal corporation, acting through its City Council (“City”); LB Moab Owner, LLC, a Delaware limited liability company (“Developer”), as successor in interest to LB Moab Land Company, LLC; and LB Moab Owner Phase 2, LLC, a Delaware limited liability company (“Owner”). City, Developer, and Owner are individually referred to herein as a “Party” and collectively as the “Parties.”
