THIS EXCHANGE AGREEMENT (the “Agreement”) is entered into and made effective as of July 12, 2025 (the “Effective Date”), by and among La Rosa Holdings Corp., a Nevada corporation (the “Company”), and the holder of the Common Purchase Warrant issued on November 14, 2022, by Emmis Capital II, LLC (now, hereinafter referred to as, a “Holder”).
