This is a FINANCING AND COVENANT AGREEMENT dated as of December 1, 2013 ("Financing Agreement") between Land O' Frost Inc., a corporation duly organized and existing under the laws of the State of Illinois and authorized to do business under the laws of the State of Indiana ("Company"), and the TOWN OF MUNSTER, INDIANA ("Issuer"), a political subdivision duly organized and validly existing under the laws of the State of Indiana.
