AGREEMENT made as of the 29th day of September 2006, between MASTER REAL INVESTMENT TRUST, a Delaware statutory trust (the “Trust”), on behalf of itself and such of its series, if any, as may be listed on Appendix A, as such Appendix may be amended from time to time, (the “Series”), and FAM DISTRIBUTORS, INC., a Delaware corporation (the “Placement Agent”).
