This Forbearance and Amendment Agreement (as amended or modified from time to time, the "Agreement") is dated as of August 14, and is entered into by and among Puerto Rico Electric Power Authority PUERTO RICO (the "Agent") and the LENDERS signatory hereto (each, a "Lender" and, together with the Agent, the "Forbearing Creditors").
