This Compass Marketplace Agreement (this “Agreement”) contains the terms and conditions that govern your access to and use of the online marketplace platform (as defined below) and is an agreement between Compass Mining Inc. (“Compass,” “we,” “us,” or “our”) and you or the entity you represent (“Seller,” “you,” or “your”). This Agreement takes effect when you click an “I Accept” button or checkbox presented or otherwise execute this Agreement (the “Effective Date”). Seller represents to Compass that Seller is lawfully able to enter into contracts (i.e., Seller is not a minor or otherwise restricted from entering into this Agreement). If Seller is entering into this Agreement for an entity, Seller represents to Compass that Seller has legal authority to bind that entity. Seller and Compass may be collectively referred to herein as the “Parties.”
