This Data Processing Addendum ("DPA") supplements the Expel, Inc. Terms and Conditions (the “Agreement”) between Customer and its applicable Affiliates ("Customer" or “Data Exporter/Controller”) and Expel, Inc., a Delaware corporation and its applicable Affiliates ("Expel" or “Data Importer/Processor” ). Any terms not defined in this Addendum shall have the meaning set forth in the Agreement. In the event of a conflict between the terms and conditions of this Addendum and the Agreement, the terms and conditions of this Addendum shall supersede and control.
