AGREEMENT (“Agreement”), dated as of June 10, 2022, is made and entered into by and among (a) RBC Global Asset Management (U.S.) Inc., a corporation organized under the laws of the State of Minnesota (the “Managing Member”), in its capacity as managing member of Global Asset Management Strategies, LLC, a Delaware series limited liability company (the “Fund”), and the Series (as defined herein) hereof, and (b) the Members listed on Schedule I to this Agreement as members (the “Members”) of the relevant Series of the Fund.
