that there is any conflict between this Contract and any other agreement between the Client and the Supplier, this Contract prevails. This Contract applies to the exclusion of any terms put forward in any way by the Client.

The Contract shall commence on the Effective Date and, unless terminated earlier in accordance with its terms, continue until the expiry of the “Initial Term” of 12 months. The Contract shall be automatically renewed for additional “Renewal Terms” of 12 months each upon the expiry of the Initial Term or any subsequent Renewal Term, unless either party gives at least ninety (90) days written notice to terminate, such notice to take effect at the expiry of the then-current Initial Term or Renewal Term.
