This Agreement (“Agreement”) shall be deemed effective as of December 12, 2001 (the “Effective Date”), between OneStar Long Distance, Inc. d/b/a OneStar Long Distance (“OneStar”), a corporation organized under the laws of the State of Indiana, with offices at 7100 Eagle Crest Boulevard, Evansville, Indiana 47715 and Verizon New England Inc., d/b/a Verizon Massachusetts, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and OneStar may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
