This Agreement (“Agreement”) shall be deemed effective as of April 15, 2002 (the “Effective Date”), between NUI Telecom (“NUI”), a corporation organized under the laws of the State of New Jersey, with offices at 550 Route 202-206, Bedminster, New Jersey 07921 and Verizon New England Inc., d/b/a Verizon Massachusetts, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and NUI may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
