This REGISTRATION RIGHTS AGREEMENT, dated as of July 1, 2025 (as it may be amended supplemented or otherwise modified from time to time, this “Agreement”), is made among Aebi Schmidt Holding AG, a Swiss Aktiengesellschaft (the “Company”); Gebuka AG, a Swiss Aktiengesellschaft (“Gebuka”), PCS Holding AG, a Swiss Aktiengesellschaft (“PCS”) and Peter Spuhler (“PS”) and any transferee of Registrable Securities to whom any Person who is a party to this Agreement shall assign any rights hereunder in accordance with Section 4.6 (each such Person, a “Holder”).
