This Agreement (“Agreement”) shall be deemed effective as of May 23, 2016 (the “Effective Date”), between Emergency Networks, LLC (“Emergency”), a limited Liability company organized under the laws of the State of Colorado, with offices at 10300 6th Avenue North, Plymouth, MN 55441 and Verizon New York Inc. (“Verizon”), a corporation organized under the laws of the State of New York with offices at 140 West Street, New York, NY 10007 (Verizon and Emergency may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
