This CREDIT AGREEMENT is entered into as of December 17, 2015 among the following: (i) HIE RETAIL, LLC, a Hawaii limited liability company (“HIE”); (ii) MID PAC PETROLEUM, LLC, a Delaware limited liability company (“Mid Pac” and, together with HIE, collectively, the “Borrowers” and, individually, a “Borrower”); (iii) each Subsidiary Guarantor (as hereinafter defined) from time to time party hereto; (iv) the lenders from time to time party hereto (each a “Lender” and, collectively, the “Lenders”); and (v) KEYBANK NATIONAL ASSOCIATION, as the administrative agent (in such capacity, the “Administrative Agent”) and as an LC Issuer (as hereinafter defined).
