Subject to the terms and conditions of this agreement (this “Agreement”) and the Transaction Documents (as defined below), Chanson International Holding, a Cayman Islands exempted company (the “Company”), hereby agrees to offer and sell up to an aggregate of $8,000,000 of securities of the Company directly to various investors (each, an “Investor” and collectively, the “Investors”) through Univest Securities, LLC, as placement agent (the “Placement Agent”), in each case consisting of (i) (A) Class A ordinary shares of the Company, par value $0.001 per share, of the Company (“Ordinary Share”) and/or (B) warrants to purchase Ordinary Shares in lieu thereof (the “Pre-Funded Warrants”) as the applicable Investor may elect, (ii) series A warrants to purchase Ordinary Shares (the “Series A Warrant”), and (iii) series B warrants to purchase Ordinary Shares (the “Series B Warrants” and together with the Series A Warrants, the “Warrants”).
