, 2013, is being entered into by and between SOUTHERN CALIFORNIA PUBLIC POWER AUTHORITY, a joint powers agency and a public entity organized under the laws of the State of California and created under the provisions of the Act and the Joint Powers Agreement, “Buyer,” and KINGBIRD SOLAR B, LLC, a limited liability company organized and existing under the laws of the State of Delaware, hereinafter designated as “Seller.” Each of Buyer and Seller is referred to individually in this Agreement as a “Party” and together they are referred to as the “Parties.”
