THIS SECOND AMENDMENT TO GROUND LEASE (this “Amendment”) is made February 18, 2014, between the UNIVERSITY OF KENTUCKY, an agency of the Commonwealth of Kentucky (“Landlord” or the “University”) and EDR LEXINGTON I LLC (“Tenant”), a Delaware limited liability company and a wholly-owned subsidiary of Education Realty Operating Partnership, LP, a Delaware limited Partnership (“Guarantor”) and affiliate of Education Realty Trust, Inc., a Maryland Corporation (“Parent” and together with Tenant and Guarantor and each of their respective affiliates, each a “Tenant Party” and collectively, the “Tenant Parties”).
