These General Terms and Conditions (“Terms and Conditions”) shall apply to: (i) any agreement (“Agreement”) between Octagos Health, Inc. (“Octagos”) and any party who or which enters an agreement for Software and/or services with Octagos (“Octagos Customer”), and (ii) any party to whom an Octagos Customer contracts to provide access to Octagos Software and/or services to a user outside of Octagos Customer in a manner permitted by its contract with Octagos (such end user referred to herein as “Distributor Customer” and collectively with Octagos Customer, “Customer”). These General Terms and Conditions are fully incorporated into any Agreement between Octagos and Octagos Customer, and shall be incorporated into any Agreement between an Octagos Customer and Distributor Customer and, by mutual agreement of the parties or through any Agreement language, are to be treated as if set forth in full in the Agreement.
