REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of July 25, 2025, by and among Brenmiller Energy Ltd., a company organized under the laws of Israel, with headquarters located at 13 Amal St. 4th Floor, Park Afek, Rosh Haayin, 4809249, Israel (the “Company”), and the investors listed on the Schedule of Purchasers attached hereto (each, a “Purchaser” and collectively, the “Purchasers”).
