This ASSET PURCHASE AGREEMENT (the “Agreement”) is entered into as of November 3, 2021 (the “Effective Date”), by and between TUSCARAWAS BROADCASTING COMPANY, an Ohio corporation (“TBC”) and NATALIE M. LUPI IN HER CAPACITY AS THE EXECUTRIX FOR THE ESTATE OF JAMES NATOLI JR. AKA, IGNACIO
