THIS WARRANT AGREEMENT (this “Warrant Agreement”) dated as of [●], 2020, by and between Longview Intermediate Holdings C, LLC, a Delaware limited liability company (the “Company”), and American Stock Transfer & Trust Company, LLC, a New York limited liability trust company (together with its successors and permitted assigns under Section 6.09, the “Warrant Agent”). Capitalized terms used in this Agreement and not otherwise defined shall have the meaning ascribed to such terms in the Plan (as defined below).
