This SHAREHOLDERS’ AGREEMENT (this “Agreement”), dated as of February 11, 2015 (the “Agreement Date”), is by and among AES U.S. Investments, Inc., an Indiana corporation (“Holdco Inc.”), IPALCO Enterprises, Inc., an Indiana corporation (the “Company”), and CDP Infrastructure Fund GP, a New York general partnership (“Buyer”).
